Employee Agreements

Employment Contracts

Pennsylvania Law and Non-Compete Agreements

In Pennsylvania, restrictive covenants (i.e., non-compete, confidentiality, non-disclosure clauses) are generally disfavored by courts.  In order for a restrictive covenant to be enforceable, the following conditions must be met:

  • the restrictive covenant must ancillary to an employment relationship between the parties;
  • the restrictive covenant must be supported by adequate consideration;
  • the restrictions imposed by the covenant must be reasonably necessary for the protection of legitimate interests of the employer; AND
  • the restrictions imposed are reasonably limited in duration and geographic extent.
